Terms & Conditions

Terms and Conditions ("T&Cs"): means a legal agreement between MaxxRTB Inc. ("MaxxRTB") and the party using the MaxxRTB services.

"Service" or "Services": means the all services that MaxxRTB makes available to Advertisers or Publishers including but not limited to the MaxxRTB's Programmatic Ad Exchange Platform, MaxxRTB support and MaxxRTB Materials (by download or any other method notified to you).

"Confidential Information": means any non-public information relating to or disclosed in the course of and/or in connection to the Agreement, which is or should reasonably be understood to be confidential.

"Advertiser" or "Advertisers": means a customer or advertising agency which create the advertising material to display on the publisher's sites clients.

"Publisher": means a customer of MaxxRTB that desires to make inventory available via MaxxRTB service for the placement of Ads.

"Agency": means the company that provides services to advertisers.

"Demand Partner"" means a company which purchases ad inventory on MaxxRTB exchange.

"Supply Partner"" means a company which sell ad inventory on MaxxRTB exchange.

"Ad" or "Ads": means any advertisements, including any graphics, text, hyperlinks or other promotional content therein, provided by Advertiser, on its own behalf or on behalf of any third party Advertiser or demand partners, to MaxxRTB, for placement via the Service.

"Creative": means the media asset associated with an ad such as an image or video file.

"Campaign": A set of criteria for purchasing inventory to achieve advertising goals.

"Pixel": means a contraction of picture element, a pixel refers to a single point in a graphic. creatives are typically measured in pixels, for example the default 468x60-sized banner.

"Advertising Materials": means the text, graphics, logos, designs, trademarks and copyrights for any type of advertising including, but not limited to, buttons, banners, text-links, pop-ups, and pop-unders is created by an advertiser.

"Impressions" means the number of times Advertising Material is served to a person visiting the Publisher's Site(s).

"click": means a user action, such as clicking an ad with their mouse or touching the screen of a mobile device, which sends them to a click-through URL while MaxxRTB records the event.

"Unique Click" means the number of times, as recorded by MaxxRTB's server, a person visiting Publisher's Site(s), as identified by cookie or IP address, clicks on Advertising Material, provided however, that a click on Advertising Material by a particular visitor shall only be counted as a Unique Click once every 24-hour period.

"Publisher sites" means mobile applications and websites registered by Publisher to make inventory available via MaxxRTB service for the placement of Ads.

"Ad zone": means a representation of lacation on a website or on a app where creatives should be displayed.

"MaxxRTB's HTML Insertion Code" means the code in which Publishers are permitted to use Advertising Material delivered to the Publisher's Site(s).

"Ad tag": means a piece of HTML or JavaScript code that your webmaster or developer inserts into the source code of a web page; tell the browser how to display the advertisement on website

"SDK" (Software Development Kit): means a computer code that app developers can include in their apps to enable ads to be shown, data to be collected, and related services to be implemented.

"Pixel Tag" (also commonly known as a web beacon or clear GIF): means an invisible 1 x 1 pixel that is placed on certain web pages. When you access a web page with a pixel tag, the pixel tag may generate a generic notice of the visit, and permit us, or our Clients or Partners, to set or read cookies.

"Cookies: means small data files containing a string of characters, such as unique browser identifiers. Cookies are stored on your computer or other device and act as unique tags that identify your browser.

"Prohibited Content": means the content listed under Content Guidelines section 4, MaxxRTB does not accept that you display any prohibited content, products or services to any ads or sites.

"Account": means an online, password protected Advertiser or Publisher account allowing them to use MaxxRTB Programmatic Ad exchange Platform for their advertising needs.

"MaxxRTB Programmatic Ad Exchange Platform" means demand-side and supply side platform provided by MaxxRTB that enables Advertiser and Publisher to fulfill their advertising needs from MaxxRTB internal exchange as well as multiple demand and supply sources in realtime.

"Ad Server": means the technology and functionality made available to Advertiser or Publisher via the Website, including tools for campaign management, ad trafficking and the logic system supporting targeting for optimization.

"MaxxRTB's Network": means the advertising network owned and operated by MaxxRTB.

"MaxxRTB DSP Platform": means Demand-side platform, a platform that allows advertiser to manage and optimize advertising campaign to reach potential customer from MaxxRTB internal exchange as well as multiple sources in real time.

"MaxxRTB SSP Platform": Supply-side platform, a platform that allows publishers to manage and optimize revenue for their inventory from MaxxRTB internal exchange as well as multiple sources in real time.

"Real-Time Bidding": means auctioning online inventory within an ad exchange. Buyers bid for the impression based on the value of the user, whereas the seller sets pricing floors and awards the impression to the highest bidder. The auction process takes place in milliseconds, which is why the process is referred to as "real-time."

"opt in": means the process by which a user agrees to receiving messages from a company. Opt in messages, therefore, cannot be considered as spam.

"opt out": means the process by which a user elects to stop receiving messages from a company. If a user continues to receive messages after opting out these messages can be considered to be spam.
